Solid IO Code of Conduct

Introduction

At Solid IO, we are pioneering patient-specific organ-on-chip technology to transform cancer care. Our mission is grounded in scientific excellence and sustained by ethical behavior, trust, and transparency.

This Code of Conduct outlines the principles that guide how we work, collaborate, and make decisions. It is not a rulebook for every situation, but a shared commitment to integrity, respect, and responsibility.

Scope and Applicability

This Code applies to:

  • All Solid IO employees, co-founders, board members, advisors, contractors, interns, and collaborators.
  • All activities conducted on behalf of Solid IO, including research, development, partnerships, and communications.

Everyone is expected to read, understand, and follow this Code. Violations may lead to disciplinary action, including termination of employment or contract, and may be reported to relevant authorities.

Speaking Up and Non-Retaliation

In an ethical culture, two actions are equally vital: speaking up and listening up.

  • Speaking up means asking questions, raising concerns, challenging assumptions, or voicing disagreement - even when it’s uncomfortable.
  • Listening up means creating space for others to be heard, responding with openness, and taking concerns seriously.

At Solid IO, every voice matters. Speaking up helps prevent misunderstandings, uncover risks early, and foster innovation. Listening up builds psychological safety and trust.

We strive to create an environment where people feel safe to express their opinions and concerns.

SpeakUp Channel for Confidential Reporting

To support open dialogue, Solid IO offers a confidential and secure SpeakUp Channel for employees and external stakeholders. This channel is hosted by an independent third-party provider to ensure impartiality, anonymity (if desired), and professional handling of all reports.

You can use the SpeakUp Channel to report concerns related to:

  • Misconduct or unethical behavior 
  • Safety issues 
  • Financial irregularities 
  • Breaches of this Code or applicable laws

Note: The SpeakUp Channel is an additional option when direct dialogue feels difficult or unavailable.

All reports are treated with strict confidentiality and investigated by qualified professionals. You are encouraged to speak up in good faith - whether to ask a question, express a concern, or report suspected wrongdoing. Every concern will be taken seriously.

Non-Retaliation

Solid IO has zero tolerance for retaliation against anyone who:

  • Reports a concern in good faith 
  • Asks a question about ethics or compliance 
  • Participates in an investigation 

Retaliation - including demotion, exclusion, threats, or creating a hostile environment - is strictly prohibited. Anyone found retaliating will face disciplinary action, up to and including termination.

If you experience or witness retaliation, report it immediately through the SpeakUp Channel.

Zero Tolerance for Bribery

We are committed to fair and transparent business practices and have zero tolerance for corruption and bribery. We:

  • Never offer, give, receive, or request anything of value to improperly influence decisions 
  • Act honestly and ethically in all interactions with partners, suppliers, and public officials 
  • Raise concerns about suspected bribery or unethical conduct through open dialogue or the SpeakUp Channel 

Conflicts of Interest

We build trust through transparency. Everyone at SolidIO should:

  • Avoid situations where personal interests could interfere with professional responsibilities 
  • Disclose any financial, personal, or external relationships that may affect decision-making 
  • Seek guidance when unsure whether a situation may present a conflict 

Accurate Record-Keeping

We rely on truthful and complete records to uphold our scientific and operational integrity. All team members must:

  • Ensure research, financial, and operational records are accurate and timely 
  • Never falsify or misrepresent data or documentation 
  • Ask for support when uncertain about documentation standards or practices 

Scientific Integrity

We are committed to rigorous, transparent, and reproducible science. This includes:

  • Designing and conducting research ethically 
  • Having zero tolerance for fabrication, falsification, or plagiarism 
  • Respecting intellectual property and giving proper attribution 

Respect & Inclusion

We foster a respectful, inclusive, and collaborative workplace. This means we:

  • Treat others with dignity and professionalism 
  • Embrace diverse perspectives and backgrounds 
  • Speak up against discrimination, harassment, or bullying 

Safety & Compliance

We prioritize safety in our labs, offices, and digital environments. All team members must:

  • Follow health and safety protocols 
  • Comply with data protection and privacy regulations 
  • Report any safety hazards or breaches immediately 

Responsible Innovation

As a company working at the frontier of personalized medicine, we recognize our responsibility to:

  • Consider the ethical implications of our technologies 
  • Engage transparently with stakeholders 
  • Ensure our innovations serve patients and society responsibly 

Review & Updates

This Code will be reviewed annually and updated as needed to reflect changes in law, operations, or ethical standards.
